TERMS AND CONDITIONS OF USE OF THE SITE’S BULLETIN BOARD
The following terms and conditions of use govern your use of the Site’s bulletin board. The Site’s bulletin board is made available by the Ohio Water Development Authority. We may change these Terms and Conditions from time to time, and at any time without notice to you, by posting changes on the Site. BY USING THE SITE, YOU ACCEPT AND AGREE TO THESE TERMS AND CONDITIONS AS APPLIED TO YOUR USE OF THE SITE’S BULLETIN BOARD. If you do not agree to these Terms and Conditions, you may not access or otherwise use the Site’s bulletin board. By using the Site’s bulletin board following any modifications to the Terms and Conditions, you agree to be bound by any such modifications to the Terms and Conditions.
1.The Site’s Bulletin Board is a Venue. From time to time, we will facilitate the posting on the Site’s bulletin board news or information concerning various Ohio community and/or local government water, waste water, solid waste and/or hazard waste management projects. Among the users of this Site’s bulletin board are persons or organizations in the private sector who may believe that they can assist Ohio communities or local governments respecting the posted water, waste water, solid waste and/or hazard waste management projects. Such persons or organizations in the private sector may contact Ohio communities or local governments as a result of postings on the Site’s bulletin board. It is important to realize that we are not a brokerage firm, an employment agency, or any other kind of match-making organization. Instead, the Site’s bulletin board merely acts as a venue through which OWDA enables the posting of fact-based information that OWDA believes is relevant to the Ohio communities and local governments that OWDA and its public and non-profit agency partners serves. We are not involved in any actual transactions, should any occur, between private sector service providers, on the one hand, and communities or local governments, on the other hand. As a result, we have no control over the quality or safety of services provided by private sector service providers, or the fairness of fees charged by them. We do not endorse any private sector service providers. Similarly, we have no control over the ability or willingness of any community or local government to pay for any services. Because we are a venue, if you have a dispute with either a private sector service provider, on the one hand, or a community or local government, on the other hand, either as a direct or indirect result of this Site, you release OWDA (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. We do not control the actions of any person or organization who acts on information that is made available through our system. Please note that there are risks of dealing with people acting under false pretense. Public and non-profit organizations, or any persons, who are permitted to post information on this Site’s bulletin board have been instructed not to post, and may not post, inaccurate or misleading information, or information that is defamatory or trade libelous. Although facilitated by OWDA, in no event does any posting of news or information by any person on this Site’s bulletin board necessarily reflect OWDA’s sponsorship or endorsement of (i) the substance of the news or information, or (ii) the person, public agency or non-profit organization who posted the news or information. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created between OWDA, on the one hand, and any person, public, and/or non-profit organization, on the other hand, permitted to post information on this Site’s bulletin board.
2.No Agency.
You and OWDA are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by your use of this Site’s bulletin board.
3.No Warranty.
WE, OUR OFFICERS, DIRECTORS, EMPLOYEES AND OUR SUPPLIERS PROVIDE OUR SITE’S BULLETIN BOARD AND SERVICES “AS IS” AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. WE, OUR OFFICERS, DIRECTORS, EMPLOYEES AND THE STATE OF OHIO SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
4.Liability Limit.
In no event will we, our officers, directors, employees or the State of Ohio be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with the Site’s bulletin board, any services provided directly or indirectly as a result of the Site’s bulletin board (however arising, including, without limitation, negligence).
5.Indemnity.
You agree to indemnify and hold us and (as applicable) our officers, directors, agents, employees, and the State of Ohio harmless from any claim or demand, including, without limitation, reasonable attorneys’ fees, made by any third party due to or arising out of your violation of any law or the rights of a third party.
6.General.
These Terms and Conditions of Use will be governed in all respects by the laws of the State of Ohio as such laws are applied to agreements entered into and to be performed entirely within Ohio between Ohio residents. We do not guarantee continuous, uninterrupted or secure access to our services, and operation of the Site may be interfered with by numerous factors outside of our control. If any of the above provisions is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will be enforced. These Terms and Conditions of Use sets forth the entire understanding and agreement between us with respect to the subject matter hereof. Sections 4 (Liability Limit) and 5 (Indemnity) will survive any termination or expiration of our agreement.
LINKS TO OTHER SITES
To the extent that this Site contains links to other web sites, the linked sites are not controlled by OWDA, and OWDA is not responsible for the content, policies or actions of any linked site or any link contained in a linked site. OWDA provides any links as a convenience, not as an endorsement of these other sites. The Terms and Conditions of Use on any linked web sites are entirely separate from OWDA and are not covered by this Site’s Terms and Conditions of Use.
COPYRIGHT INFRINGEMENT
The Ohio Water Development Authority respects the intellectual property of others, and we ask the Site’s participants to do the same. The Ohio Water Development Authority will, in appropriate circumstances, disable and/or terminate users’ access rights to the Site who may be infringing the intellectual property rights of others. If you believe that your work has been copied in a way on this Site that constitutes copyright infringement, or your intellectual property rights have been otherwise violated through this Site, please provide the Ohio Water Development Authority’s Copyright Agent with: 1.An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest; and 2.A description of the copyrighted work or other intellectual property that you claim has been infringed; and 3.A description of where the material that you claim is infringing is located on the Site; and 4.Your address, telephone number, and e-mail address; and 5.A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law; and 6.A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.
